Scott Watnik represented one of our clients in a week-long bench trial before the Delaware Court of Chancery in Franklin et al v. Herman Miller, Inc. et al, (Del. Chancery, C.A. NO. 10477-CB). This is the first case to ever go to trial concerning Delaware General Corporate Law §§ 204 and 205, which enact a process by which a Delaware corporation can ratify defective corporate acts.
